Rambus is seeking a Corporate Counsel with at least 5 years of relevant contract negotiation and drafting experience. This position will report to the company’s Vice President and Deputy General Counsel for IP Licensing and Commercial Transactions.
Responsibilities
- Draft and negotiate the following types of contracts for various business units:
- In-bound and out-bound technology license agreements (e.g., software license agreements, IP core license agreements)
- In-bound and out-bound commercial contracts (e.g., supply/manufacturing agreements, sales and purchasing agreements)
- Joint development/technology collaboration agreements
- In-bound and out-bound patent license agreements;
- Manage the overall transaction process and collaborate with other legal team members and business partners;
- Continuous evaluation and improvement of related business processes and legal templates;
- Other general corporate matters and special projects from time to time
Qualifications
- Strong contract drafting skills
- Demonstrated expertise in intellectual property law and associated best practices
- Ability to effectively work with internal and geographically dispersed business partners at various levels of management and advise them of legal risks and benefits posed by potential transactions
- Ability to effectively negotiate in a collaborative manner with geographically dispersed counterparties
- Flexibility and willingness to work on a broad variety of legal issues and learn new subject matter
- Positive attitude and willingness to take on any job, big or small
- Professional credentials, including:
- 5 years of relevant legal experience at a top-tier law firm and/or as an in-house attorney
- Experience negotiating and drafting commercial contracts and technology license agreements
- Strong written and oral communication skills
- Strong legal analysis skills with ability to integrate legal advice and business knowledge, and ability to provide balanced advice regarding risks and benefits
- Excellent strategic, organizational, presentation, and counseling skills, with the ability to follow through on numerous projects simultaneously under deadline pressure
- Ability to work well both independently and as part of a team environment
- Strong interpersonal skills and resourcefulness
- Exceptional academic credentials
- Member of the California State Bar
- Preferred Skills/Requirements:
- Prior in-house experience with a public company and/or experience working in semiconductor or related industries
- Patent litigation experience
- Patent licensing experience
